Artwork Installations

These Terms are between Offworld Publishing and any of its affiliates (collectively “Offworld,” “we,” or “us”) and (“Client”) for the provision of artwork and/or the provision of consultancy, design, manufacture and installation of artwork (the “Services”). 

The Client and Offworld may be referred to herein individually as a “Party” or collectively as the “Parties.” This contract is entered into in good faith and upon signature by the Parties indicates acceptance of this contract and the terms described herein.

The Client agrees to the following conditions :

1. The Parties warrant that the artwork to be included as part of the Services is free to use for the purposes described in the Service Description, which will be provided to the Client by Offworld. Any rights claim to the artwork will be solely the responsibility of the provider of the artwork.

2. Offworld will use one of its authorised installers (Installer”) in the Client’s geographic area to receive the finished artwork, survey and install it at the Client’s designated location (“Site”). The Installer may ask the Client to sign a further agreement for the purposes of insurance and other considerations but under no circumstance will the Installer be permitted to charge the Client separately to the sums indie

3. The responsibility for compliance with building and fire regulations, local authority approval or planning permission shall remain with the Client.

4. The Client or his main contractor or any such designate shall provide safe, dry storage for all materials delivered on site, and once on site, must accept liability for any damage to that material, however caused, unless caused by the Installer. Due to the composition of lenticular lens artwork, it must be installed in warm, dry conditions. ‘Wet’ trades must have completed their work and all doors windows and openings must have been sealed to keep out bad weather.

5. The installation area should be ready for use, i.e. walls etc. should be finished to enable the Installer to fix their trim to the perimeter, and any trades obliged to work above the suspended ceilings should have completed their work. If the Installer is obliged to leave site and make a return visit because the above requirements have not been met, it will be charged as an extra and a variation order will be needed before they can return to site, unless otherwise agreed.

6. Where concealed fix systems are used, it is essential that all other trades working within the wall or ceiling void have their work completed before the ceiling installation commences.

7. Offworld have not included for protection unless stated otherwise, and no liability can be accepted by Offworld or their Installer for damage, howsoever caused to install finishes after they have been incorporated into the works.

8. In the event of asbestos based materials being found during the course of installation, we reserve the right to stop work and contact the Health and Safety Executive whose ruling will be final.

9. Where required, Offworld will arrange a survey of the Client’s Site prior to full installation. Once Offworld confirms the Site survey matches the information submitted by the Client, Offworld will arrange an installation date(s) with the Client and the Installer.

10. Offworld and the Installer must be allowed continuity of work upon commencement. Any break due to delays caused by the Client or any party on Site at the time of installation, insufficient clear floor area to allow the Installer to carry out our work safely, alterations to the contract authorised by the Client, architect or quantity surveyor resulting in additional separate visits to site may be charged as extra. Our tender is calculated on the works being carried out in one operation.

11. Customer to provide adequate mains power supply and adequate lighting.

12. Unless otherwise agreed in advance, all work is to be carried out during normal working hours and quotations are based on this assumption. Working hours are between 09.00 and 17.00 hours – Monday to Friday (Unless otherwise stated). Installations can be undertaken during evenings or at weekends by special negotiation, subject to reasonable notice. 

13. On completion of installation, please ensure the building remains warm and dry.

14. Prior to your order, please make sure building is weathertight, dry and warm (or humidity free). Damp conditions could affect or damage Offworld products.

15. With regard to ceilings: Ceiling panels are not clipped down as this prevents access. Unless stated in our tender, we have not included in our rates for any vertical work, upstands or slopes, openings for light fittings or apertures for ventilation grills etc. Should we be required to form these or to provide necessary supports for them, our supplementary rates will be forwarded on receipt of full information.

16. Subject to re-measurement on completion only if different than drawing or dimensions/quantities stated on estimate.

17. Unless otherwise agreed, all unused materials will be removed from site and the Installers will clear offcuts and waste to the Client’s trash/skips/rubbish bins.

18. Although the Installers will leave the artwork clean, in optimum condition and clean their work area, the Client is advised to arrange for cleaners to carry out a final ‘dust and polish’ of the work area on completion of their work.

19. Neither Offworld nor the Installer shall be responsible for any delays to the Services or the installation as a result of a shortage or the defective nature of materials.

20. The passing of the risk in the goods title shall remain vested in Offworld until the full price and all other charges and payments in respect thereof have been paid. Failure to pay any amounts when due shall give sellers right/without prejudice to any other remedies they may have to re-take possession and remove the goods with or without prior notice and to enter upon any premises in which the goods may be for the purpose of repossession without being liable to any action or other proceedings at the suit of the buyers or any person claiming under or through the buyers without prejudice to the generality of the foregoing the Installer’s right to re-take possession and remove the goods shall include a right so to do  in respect of goods which have become attached or affixed to any building or land.

21. Offworld shall be entitled to sell the goods on their own behalf in the ordinary course of their business. Offworld shall be legally and beneficially entitled to the proceeds of such a sale and the Client shall pay the proceeds of sale into a separate account. Further, upon receipt of the proceeds of sale the Client shall pay to Offworld any part of the price of the goods, or other charges or payments in respect thereof, which are outstanding, and the Client shall not use or deal with the proceeds or sale (save to pay Offworld as aforesaid) until all such sums have been paid.

22. This agreement remains open for acceptance within 30 days.

23. Conditions for payment are set out in Annex 2.

Payment

 

1. Client will be provided with a proforma invoice for the agreed percentage of the total agreed remuneration for the Services detailed in the Service Proposal and Client will pay the invoice to Offworld via the methods of payment detailed herein.

2. If payments are split, interest will be added to all overdue accounts at the rate of 2% per month on outstanding balance or daily equivalent.

3. Materials supplied and services provided remain the property of Offworld until paid for in full. Title in goods shall not pass until paid for in full 

4. Prices stated DO NOT include VAT/Sales Tax. If applicable, VAT/Sales Tax will be added to invoices.
